Eligibility Criteria for SME IPO in India

The Securities and Exchange Board of India (SEBI) and the respective exchanges have laid down certain criteria that a company must meet to launch an SME IPO:

  1. Incorporated entity with a minimum track record of three years.

  2. Net tangible assets of at least ₹1.5 crore in the latest audited financials.

  3. Positive net worth and profitability in at least 2 out of the last 3 years.

  4. Minimum paid-up capital post-issue must be less than ₹25 crore.

  5. Company must have a website and maintain demat account facilities.

  6. The company must not be referred to the Board for Industrial and Financial Reconstruction (BIFR).

There should be at least 50 allottees in the IPO.
